Cleerline Project Registration Terms and Conditions

1. Purpose

The Project Registration Program is designed to support authorized partners, dealers, distributors, resellers, integrators and representatives who identify, develop, influence and support qualified sales opportunities for eligible Cleerline products.

Approved project registrations may provide the registering partner with special pricing, bid protection, support, purchasing terms or other benefits at the sole discretion of Cleerline Technology Group. 


2. Eligibility

Project registration is available only to partners in good standing with Cleerline Technology Group.

To be eligible, the registering partner must:

  • Be actively involved in the project opportunity.
  • Provide accurate and complete project information.
  • Demonstrate meaningful influence over the specification, design, customer relationship, bid process or purchasing decision.
  • Comply with all applicable laws, customer requirements and Cleerline Technology Group policies.
  • Not be delinquent on payments or otherwise restricted from purchasing from Cleerline Technology Group.

Cleerline Technology Group reserves the sole right to deny registration or revoke previously approved registration to any partner at any time. 


3. Required Project Information

A project registration request must include, at minimum:

  • Project name
  • End customer or project owner
  • Project location
  • Estimated project value
  • Estimated close date
  • Product categories or part numbers involved
  • Bid date, if applicable
  • Contractor, consultant, integrator, distributor, reseller or decision-maker information, where available
  • Description of the registering partner’s role in the opportunity
  • Any other information reasonably requested by Cleerline Technology Group

Incomplete, inaccurate, misleading or duplicate registrations may be rejected.


4. Approval of Registration

Submission of a project registration request does not guarantee approval.

A registration is not valid unless and until it is approved in writing by Cleerline Technology Group and a formal quote is provided. Approval may be granted, denied, modified or withdrawn at the sole discretion of Cleerline Technology Group.

Cleerline Technology Group may consider the following factors when reviewing a request:

  • Date and time of submission
  • Completeness and accuracy of information
  • Partner’s demonstrated involvement in the opportunity
  • Prior activity on the project
  • Existing registrations or known opportunities
  • Customer, contractor, consultant or channel relationships
  • Product fit and project qualification
  • Compliance with program requirements


5. Registration Term

Unless otherwise stated in writing, an approved project registration is valid for the terms listed on the quote supplied by Cleerline Technology Group. If no terms are listed, an approved project registration is valid for 90 days from the date of approval.

A registration may be extended at the discretion of Cleerline Technology Group if the partner provides updated project information and demonstrates continued active involvement.

Expired registrations may be released and made available to other partners.

 

6. Special Pricing and Bid Protection

Approved project registrations may qualify for special project pricing, bid protection or other commercial support.

Any special pricing issued under a project registration:

  • Applies only to the specific approved project.
  • Applies only to the approved products, quantities and scope.
  • May not be transferred to another project, customer, partner or location.
  • May not be combined with other discounts, promotions, rebates or pricing programs unless approved in writing.
  • Is subject to product availability, lead times, minimum order requirements, freight terms, taxes, tariffs and other applicable charges.

Special pricing does not constitute a guarantee of sale, award, supply, exclusivity or margin.

 

7. No Guarantee of Exclusivity

Approval of a project registration does not guarantee exclusive rights to sell into the project.

Cleerline Technology Group may continue to support other partners, distributors, contractors, consultants, end users or project stakeholders as required by customer preference, legal requirements, contractual obligations, public bid rules or market conditions.

Where multiple partners are involved in the same project, Cleerline Technology Group reserves the right to determine eligibility, pricing support and registration priority based on the facts of the opportunity.

 

8. Duplicate or Conflicting Registrations

If more than one partner submits a registration for the same or substantially similar project, Cleerline Technology Group will review the submissions and determine how to proceed.

Factors may include:

  • First complete registration received
  • Demonstrated influence on the opportunity
  • Relationship with the end customer, contractor, consultant or specifier
  • Documented project activity
  • Prior communication with Cleerline Technology Group
  • Ability to support the opportunity through completion

Cleerline Technology Group’s decision regarding duplicate or conflicting registrations is final.


9. Partner Responsibilities

The registering partner is responsible for actively pursuing and supporting the project opportunity.

The partner agrees to:

  • Maintain regular communication with Cleerline Technology Group regarding project status.
  • Provide updates upon request.
  • Use approved pricing only for the registered project.
  • Protect confidential pricing and program information.
  • Avoid misrepresenting product capabilities, availability, specifications, approvals, certifications or warranties.
  • Notify Cleerline Technology Group of material changes to the project scope, customer, bid date, close date, product mix or channel structure.
  • Comply with all applicable procurement, bidding and anti-corruption laws.

Failure to meet these responsibilities may result in cancellation of the registration.

 

10. Confidentiality

All special pricing, project registration approvals, quotations, program terms and related communications are confidential and may not be disclosed to third parties except as necessary to support the approved project.

The partner may not publish, advertise, share or use special project pricing outside the approved opportunity without prior written consent from Cleerline Technology Group.

 

11. Changes to Project Scope

If the project scope changes materially, Cleerline Technology Group may require the partner to submit an updated registration or revised pricing request.

Material changes may include:

  • Significant quantity changes
  • Different project location
  • Different end customer or owner
  • Different contractor, reseller, distributor or integrator
  • Product substitutions
  • Delayed bid or award date
  • Split project phases
  • Change from private project to public bid, or vice versa

Cleerline Technology Group reserves the right to revise, withdraw or reapprove pricing based on project changes.

 

12. Cancellation or Revocation

Cleerline Technology Group may cancel, revoke or modify a project registration at any time if:

  • The information provided was false, incomplete or misleading.
  • The partner is no longer actively involved in the opportunity.
  • The registration has expired.
  • The project is cancelled, delayed or materially changed.
  • The partner violates these Terms and Conditions.
  • The partner discloses confidential pricing or program information.
  • The partner uses registered pricing for an unapproved project.
  • The partner fails to comply with applicable laws or customer requirements.
  • Approval was issued in error.
  • Business conditions, supply constraints or manufacturer requirements change.

Cancellation of a project registration does not create liability for Cleerline Technology Group.


13. Public Bid and Government Projects

For public bid, government, military, education, municipal or other regulated procurement projects, project registration benefits may be limited by applicable law, bid requirements, contract terms or customer procurement rules.

Nothing in this program is intended to restrict fair competition, violate public procurement requirements or interfere with legally required bidding processes.

Cleerline Technology Group reserves the right to support multiple bidders or provide equal pricing where required or appropriate.

 

14. Product Availability

Project registration approval does not guarantee product availability.

All orders remain subject to:

  • Inventory availability
  • Production capacity
  • Lead times
  • Minimum order quantities
  • Credit approval
  • Shipping limitations
  • Force majeure events
  • Import/export restrictions
  • Allocation requirements
  • Applicable terms of sale

Substitutions or equivalent products may be offered at the discretion of Cleerline Technology Group.

 

15. Orders and Acceptance

All purchase orders submitted under an approved project registration are subject to acceptance by Cleerline Technology Group.

No order is binding until accepted by Cleerline Technology Group in accordance with its standard order acceptance process.

Project registration approval does not override standard terms and conditions of sale unless expressly agreed in writing by an authorized representative of Cleerline Technology Group.

 

16. Non-Transferability

Approved project registrations are specific to the registering partner and approved project.

Registrations may not be sold, assigned, transferred, shared, acquired or used by any other party without prior written approval from Cleerline Technology Group.


17. No Circumvention

Partners may not use project registration information, pricing or approvals to circumvent Cleerline Technology Group, another authorized partner, or an approved channel structure.

Partners may not submit registrations for projects they are not actively pursuing or for the purpose of blocking other partners from receiving support.

 

18. Program Abuse

Program abuse may result in denial of future registrations, cancellation of current registrations, loss of special pricing, suspension of partner privileges or termination of partner status.

Examples of program abuse include:

  • Registering projects without active involvement
  • Submitting false or inflated opportunity information
  • Using registered pricing on unrelated projects
  • Sharing confidential pricing with unauthorized parties
  • Registering the same project under multiple names
  • Failing to update project status
  • Misrepresenting customer or project details
  • Using registration to block competition without legitimate sales activity

 

19. Limitation of Liability

To the maximum extent permitted by law, Cleerline Technology Group shall not be liable for lost profits, lost sales, lost opportunities, loss of business expectancy, consequential damages, indirect damages or special damages arising from approval, denial, modification, expiration or cancellation of any project registration.

 

20. Program Modification

Cleerline Technology Group reserves the right to modify, suspend or terminate the Project Registration Program, including these Terms and Conditions, at any time without prior notice.

 

21. Governing Terms

These Project Registration Terms and Conditions are supplemental to Cleerline Technology Group’s standard terms and conditions of sale, partner agreements, distributor agreements, reseller agreements and any other applicable written agreements.

In the event of conflict, the controlling document shall be determined by Cleerline Technology Group, unless otherwise required by law or expressly agreed in writing.

 

22. Acceptance

By submitting a project registration request, the partner acknowledges that it has read, understood and agrees to these Project Registration Terms and Conditions.
